<p>This Commercial Lease Agreement (&#8220;Lease&#8221;) is made and effective <strong>[Date]</strong>, by and between <strong>[Landlord]</strong>(&#8220;Landlord&#8221;) and <strong>[Tenant]</strong> (&#8220;Tenant&#8221;).</p>
<p>Landlord is the owner of land and improvements commonly known and numbered as <strong>[Address of Building]</strong> and legally described as follows (the &#8220;Building&#8221;): <strong>[Legal Description of Building]</strong></p>
<p>Landlord makes available for lease a portion of the Building designated as <strong>[Suite or Other Number of Leased Building]</strong> (the &#8220;Leased Premises&#8221;).</p>
<p>&nbsp;</p>
<p>Landlord desires to lease the Leased Premises to Tenant, and Tenant desires to lease the Leased Premises from Landlord for the term, at the rental and upon the covenants, conditions and provisions herein set forth.</p>
<p>&nbsp;</p>
<p>THEREFORE, in consideration of the mutual promises herein, contained and other good and valuable consideration, it is agreed:</p>
<p>&nbsp;</p>
<p>1. <strong>Term</strong>.</p>
<p>A. Landlord hereby leases the Leased Premises to Tenant, and Tenant hereby leases the same from Landlord, for an &#8220;Initial Term&#8221; beginning <strong>[Start Date]</strong> and ending <strong>[End Date]</strong> . Landlord shall use its best efforts to give Tenant possession as nearly as possible at the beginning of the Lease term. If Landlord is unable to timely provide the Leased Premises, rent shall abate for the period of delay. Tenant shall make no other claim against Landlord for any such delay.</p>
<p>&nbsp;</p>
<p>B. Tenant may renew the Lease for one extended term of <strong>[Renewal Term]</strong>. Tenant shall exercise such renewal option, if at all, by giving written notice to Landlord not less than ninety (90) days prior to the expiration of the Initial Term. The renewal term shall be at the rental set forth below and otherwise upon the same convenants, conditions and provisions as provided in this Lease.</p>
<p>&nbsp;</p>
<p>2. <strong>Rental</strong>.</p>
<p>A. Tenant shall pay to Landlord during the Initial Term rental of <strong>[Annual Rent]</strong> per year, payable in installments of <strong>[Monthly Rental Amount]</strong> per month. Each installment payment shall be due in advance on the first day of each calendar month during the lease term to Landlord at <strong>[Landlord's Designated Payment Address]</strong> or at such other place designated by written notice from Landlord or Tenant. The rental payment amount for any partial calendar months included in the lease term shall be prorated on a daily basis. Tenant shall also pay to Landlord a &#8220;Security Deposit&#8221; in the amount of <strong>[Security Deposit]</strong>.</p>
<p>&nbsp;</p>
<p>B. The rental for any renewal lease term, if created as permitted under this Lease, shall be <strong>[Annual Rent in Renewal Term]</strong> per year payable in installments of <strong>[Monthly Rental Amount]</strong> per month.</p>
<p>&nbsp;</p>
<p>3. <strong>Use</strong></p>
<p>[Permitted Use] Notwithstanding the forgoing, Tenant shall not use the Leased Premises for the purposes of storing, manufacturing or selling any explosives, flammables or other inherently dangerous substance, chemical, thing or device.</p>
<p>&nbsp;</p>
<p>4. <strong>Sublease and Assignment</strong>.</p>
<p>Tenant shall have the right without Landlord&#8217;s consent, to assign this Lease to a corporation with which Tenant may merge or consolidate, to any subsidiary of Tenant, to any corporation under common control with Tenant, or to a purchaser of substantially all of Tenant&#8217;s assets. Except as set forth above, Tenant shall not sublease all or any part of the Leased Premises, or assign this Lease in whole or in part without Landlord&#8217;s consent, such consent not to be unreasonably withheld or delayed.</p>
<p>&nbsp;</p>
<p>5. <strong>Repairs</strong>.</p>
<p>During the Lease term, Tenant shall make, at Tenant&#8217;s expense, all necessary repairs to the Leased Premises. Repairs shall include such items as routine repairs of floors, walls, ceilings, and other parts of the Leased Premises damaged or worn through normal occupancy, except for major mechanical systems or the roof, subject to the obligations of the parties otherwise set forth in this Lease.</p>
<p>&nbsp;</p>
<p>6. <strong>Alterations and Improvements</strong>.</p>
<p>Tenant, at Tenant&#8217;s expense, shall have the right following Landlord&#8217;s consent to remodel, redecorate, and make additions, improvements and replacements of and to all or any part of the Leased Premises from time to time as Tenant may deem desirable, provided the same are made in a workmanlike manner and utilizing good quality materials. Tenant shall have the right to place and install personal property, trade fixtures, equipment and other temporary installations in and upon the Leased Premises, and fasten the same to the premises. All personal property, equipment, machinery, trade fixtures and temporary installations, whether acquired by Tenant at the commencement of the Lease term or placed or installed on the Leased Premises by Tenant thereafter, shall remain Tenant&#8217;s property free and clear of any claim by Landlord. Tenant shall have the right to remove the same at any time during the term of this Lease provided that all damage to the Leased Premises caused by such removal shall be repaired by Tenant at Tenant&#8217;s expense.</p>
<p>&nbsp;</p>
<p>7. <strong>Property Taxes</strong>.</p>
<p>Landlord shall pay, prior to delinquency, all general real estate taxes and installments of special assessments coming due during the Lease term on the Leased Premises, and all personal property taxes with respect to Landlord&#8217;s personal property, if any, on the Leased Premises. Tenant shall be responsible for paying all personal property taxes with respect to Tenant&#8217;s personal property at the Leased Premises.</p>
<p>&nbsp;</p>
<p>8. <strong>Insurance</strong>.</p>
<p>A. If the Leased Premises or any other party of the Building is damaged by fire or other casualty resulting from any act or negligence of Tenant or any of Tenant&#8217;s agents, employees or invitees, rent shall not be diminished or abated while such damages are under repair, and Tenant shall be responsible for the costs of repair not covered by insurance.</p>
<p>&nbsp;</p>
<p>B. Landlord shall maintain fire and extended coverage insurance on the Building and the Leased Premises in such amounts as Landlord shall deem appropriate. Tenant shall be responsible, at its expense, for fire and extended coverage insurance on all of its personal property, including removable trade fixtures, located in the Leased Premises.</p>
<p>&nbsp;</p>
<p>C. Tenant and Landlord shall, each at its own expense, maintain a policy or policies of comprehensive general liability insurance with respect to the respective activities of each in the Building with the premiums thereon fully paid on or before due date, issued by and binding upon some insurance company approved by Landlord, such insurance to afford minimum protection of not less than $1,000,000 combined single limit coverage of bodily injury, property damage or combination thereof. Landlord shall be listed as an additional insured on Tenant&#8217;s policy or policies of comprehensive general liability insurance, and Tenant shall provide Landlord with current Certificates of Insurance evidencing Tenant&#8217;s compliance with this Paragraph. Tenant shall obtain the agreement of Tenant&#8217;s insurers to notify Landlord that a policy is due to expire at least (10) days prior to such expiration. Landlord shall not be required to maintain insurance against thefts within the Leased Premises or the Building.</p>
<p>&nbsp;</p>
<p>9. <strong>Utilities.</strong></p>
<p>Tenant shall pay all charges for water, sewer, gas, electricity, telephone and other services and utilities used by Tenant on the Leased Premises during the term of this Lease unless otherwise expressly agreed in writing by Landlord. In the event that any utility or service provided to the Leased Premises is not separately metered, Landlord shall pay the amount due and separately invoice Tenant for Tenant&#8217;s pro rata share of the charges. Tenant shall pay such amounts within fifteen (15) days of invoice. Tenant acknowledges that the Leased Premises are designed to provide standard office use electrical facilities and standard office lighting. Tenant shall not use any equipment or devices that utilizes excessive electrical energy or which may, in Landlord&#8217;s reasonable opinion, overload the wiring or interfere with electrical services to other tenants.</p>
<p>&nbsp;</p>
<p>10. <strong>Signs</strong>.</p>
<p>Following Landlord&#8217;s consent, Tenant shall have the right to place on the Leased Premises, at locations selected by Tenant, any signs which are permitted by applicable zoning ordinances and private restrictions. Landlord may refuse consent to any proposed signage that is in Landlord&#8217;s opinion too large, deceptive, unattractive or otherwise inconsistent with or inappropriate to the Leased Premises or use of any other tenant. Landlord shall assist and cooperate with Tenant in obtaining any necessary permission from governmental authorities or adjoining owners and occupants for Tenant to place or construct the foregoing signs. Tenant shall repair all damage to the Leased Premises resulting from the removal of signs installed by Tenant.</p>
<p>&nbsp;</p>
<p>11. <strong>Entry</strong>.</p>
<p>Landlord shall have the right to enter upon the Leased Premises at reasonable hours to inspect the same, provided Landlord shall not thereby unreasonably interfere with Tenant&#8217;s business on the Leased Premises.</p>
<p>&nbsp;</p>
<p>12. <strong>Parking</strong>.</p>
<p>During the term of this Lease, Tenant shall have the non-exclusive use in common with Landlord, other tenants of the Building, their guests and invitees, of the non-reserved common automobile parking areas, driveways, and footways, subject to rules and regulations for the use thereof as prescribed from time to time by Landlord. Landlord reserves the right to designate parking areas within the Building or in reasonable proximity thereto, for Tenant and Tenant&#8217;s agents and employees. Tenant shall provide Landlord with a list of all license numbers for the cars owned by Tenant, its agents and employees. Separated structured parking, if any, located about the Building is reserved for tenants of the Building who rent such parking spaces. Tenant hereby leases from Landlord <strong>[Number of Parking Spaces]</strong> spaces in such structural parking area, such spaces to be on a first come-first served basis. In consideration of the leasing to Tenant of such spaces, Tenant shall pay a monthly rental of <strong>[Parking Space Rental]</strong> per space throughout the term of the Lease. Such rental shall be due and payable each month without demand at the time herein set for the payment of other monthly rentals, in addition to such other rentals.</p>
<p>&nbsp;</p>
<p>13. <strong>Building Rules.</strong></p>
<p>Tenant will comply with the rules of the Building adopted and altered by Landlord from time to time and will cause all of its agents, employees, invitees and visitors to do so; all changes to such rules will be sent by Landlord to Tenant in writing. The initial rules for the Building are attached hereto as Exhibit &#8220;A&#8221; and incorporated herein for all purposes.</p>
<p>&nbsp;</p>
<p>14. <strong>Damage and Destruction</strong>.</p>
<p>Subject to Section 8 A. above, if the Leased Premises or any part thereof or any appurtenance thereto is so damaged by fire, casualty or structural defects that the same cannot be used for Tenant&#8217;s purposes, then Tenant shall have the right within ninety (90) days following damage to elect by notice to Landlord to terminate this Lease as of the date of such damage. In the event of minor damage to any part of the Leased Premises, and if such damage does not render the Leased Premises unusable for Tenant&#8217;s purposes, Landlord shall promptly repair such damage at the cost of the Landlord. In making the repairs called for in this paragraph, Landlord shall not be liable for any delays resulting from strikes, governmental restrictions, inability to obtain necessary materials or labor or other matters which are beyond the reasonable control of Landlord. Tenant shall be relieved from paying rent and other charges during any portion of the Lease term that the Leased Premises are inoperable or unfit for occupancy, or use, in whole or in part, for Tenant&#8217;s purposes. Rentals and other charges paid in advance for any such periods shall be credited on the next ensuing payments, if any, but if no further payments are to be made, any such advance payments shall be refunded to Tenant. The provisions of this paragraph extend not only to the matters aforesaid, but also to any occurrence which is beyond Tenant&#8217;s reasonable control and which renders the Leased Premises, or any appurtenance thereto, inoperable or unfit for occupancy or use, in whole or in part, for Tenant&#8217;s purposes.</p>
<p>&nbsp;</p>
<p>15. <strong>Default</strong>.</p>
<p>If default shall at any time be made by Tenant in the payment of rent when due to Landlord as herein provided, and if said default shall continue for fifteen (15) days after written notice thereof shall have been given to Tenant by Landlord, or if default shall be made in any of the other covenants or conditions to be kept, observed and performed by Tenant, and such default shall continue for thirty (30) days after notice thereof in writing to Tenant by Landlord without correction thereof then having been commenced and thereafter diligently prosecuted, Landlord may declare the term of this Lease ended and terminated by giving Tenant written notice of such intention, and if possession of the Leased Premises is not surrendered, Landlord may reenter said premises. Landlord shall have, in addition to the remedy above provided, any other right or remedy available to Landlord on account of any Tenant default, either in law or equity. Landlord shall use reasonable efforts to mitigate its damages.</p>
<p>&nbsp;</p>
<p>16. <strong>Quiet Possession</strong>.</p>
<p>Landlord covenants and warrants that upon performance by Tenant of its obligations hereunder, Landlord will keep and maintain Tenant in exclusive, quiet, peaceable and undisturbed and uninterrupted possession of the Leased Premises during the term of this Lease.</p>
<p>&nbsp;</p>
<p>17. <strong>Condemnation</strong>.</p>
<p>If any legally, constituted authority condemns the Building or such part thereof which shall make the Leased Premises unsuitable for leasing, this Lease shall cease when the public authority takes possession, and Landlord and Tenant shall account for rental as of that date. Such termination shall be without prejudice to the rights of either party to recover compensation from the condemning authority for any loss or damage caused by the condemnation. Neither party shall have any rights in or to any award made to the other by the condemning authority.</p>
<p>&nbsp;</p>
<p>18. <strong>Subordination.</strong></p>
<p>Tenant accepts this Lease subject and subordinate to any mortgage, deed of trust or other lien presently existing or hereafter arising upon the Leased Premises, or upon the Building and to any renewals, refinancing and extensions thereof, but Tenant agrees that any such mortgagee shall have the right at any time to subordinate such mortgage, deed of trust or other lien to this Lease on such terms and subject to such conditions as such mortgagee may deem appropriate in its discretion. Landlord is hereby irrevocably vested with full power and authority to subordinate this Lease to any mortgage, deed of trust or other lien now existing or hereafter placed upon the Leased Premises of the Building, and Tenant agrees upon demand to execute such further instruments subordinating this Lease or attorning to the holder of any such liens as Landlord may request. In the event that Tenant should fail to execute any instrument of subordination herein required to be executed by Tenant promptly as requested, Tenant hereby irrevocably constitutes Landlord as its attorney-in-fact to execute such instrument in Tenant&#8217;s name, place and stead, it being agreed that such power is one coupled with an interest. Tenant agrees that it will from time to time upon request by Landlord execute and deliver to such persons as Landlord shall request a statement in recordable form certifying that this Lease is unmodified and in full force and effect (or if there have been modifications, that the same is in full force and effect as so modified), stating the dates to which rent and other charges payable under this Lease have been paid, stating that Landlord is not in default hereunder (or if Tenant alleges a default stating the nature of such alleged default) and further stating such other matters as Landlord shall reasonably require.</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>19. <strong>Security Deposit</strong>.</p>
<p>The Security Deposit shall be held by Landlord without liability for interest and as security for the performance by Tenant of Tenant&#8217;s covenants and obligations under this Lease, it being expressly understood that the Security Deposit shall not be considered an advance payment of rental or a measure of Landlord&#8217;s damages in case of default by Tenant. Unless otherwise provided by mandatory non-waivable law or regulation, Landlord may commingle the Security Deposit with Landlord&#8217;s other funds. Landlord may, from time to time, without prejudice to any other remedy, use the Security Deposit to the extent necessary to make good any arrearages of rent or to satisfy any other covenant or obligation of Tenant hereunder. Following any such application of the Security Deposit, Tenant shall pay to Landlord on demand the amount so applied in order to restore the Security Deposit to its original amount. If Tenant is not in default at the termination of this Lease, the balance of the Security Deposit remaining after any such application shall be returned by Landlord to Tenant. If Landlord transfers its interest in the Premises during the term of this Lease, Landlord may assign the Security Deposit to the transferee and thereafter shall have no further liability for the return of such Security Deposit.</p>

<p>20. <strong>Notice</strong>.</p>
<p>Any notice required or permitted under this Lease shall be deemed sufficiently given or served if sent by United States certified mail, return receipt requested, addressed as follows:</p>

<p>21. <strong>Brokers</strong>.</p>
<p>Tenant represents that Tenant was not shown the Premises by any real estate broker or agent and that Tenant has not otherwise engaged in, any activity which could form the basis for a claim for real estate commission, brokerage fee, finder&#8217;s fee or other similar charge, in connection with this Lease.</p>
<p>&nbsp;</p>
<p>22. <strong>Waiver</strong>.</p>
<p>No waiver of any default of Landlord or Tenant hereunder shall be implied from any omission to take any action on account of such default if such default persists or is repeated, and no express waiver shall affect any default other than the default specified in the express waiver and that only for the time and to the extent therein stated. One or more waivers by Landlord or Tenant shall not be construed as a waiver of a subsequent breach of the same covenant, term or condition.</p>
<p>&nbsp;</p>
<p>23. <strong>Memorandum of Lease</strong>.</p>
<p>The parties hereto contemplate that this Lease should not and shall not be filed for record, but in lieu thereof, at the request of either party, Landlord and Tenant shall execute a Memorandum of Lease to be recorded for the purpose of giving record notice of the appropriate provisions of this Lease.</p>
<p>&nbsp;</p>
<p>24. <strong>Headings</strong>.</p>
<p>The headings used in this Lease are for convenience of the parties only and shall not be considered in interpreting the meaning of any provision of this Lease.</p>
<p>&nbsp;</p>
<p>25. <strong>Successors</strong>.</p>
<p>The provisions of this Lease shall extend to and be binding upon Landlord and Tenant and their respective legal representatives, successors and assigns.</p>
<p>&nbsp;</p>
<p>26. <strong>Consent</strong>.</p>
<p>Landlord shall not unreasonably withhold or delay its consent with respect to any matter for which Landlord&#8217;s consent is required or desirable under this Lease.</p>
<p>&nbsp;</p>
<p>27. <strong>Performance</strong>.</p>
<p>If there is a default with respect to any of Landlord&#8217;s covenants, warranties or representations under this Lease, and if the default continues more than fifteen (15) days after notice in writing from Tenant to Landlord specifying the default, Tenant may, at its option and without affecting any other remedy hereunder, cure such default and deduct the cost thereof from the next accruing installment or installments of rent payable hereunder until Tenant shall have been fully reimbursed for such expenditures, together with interest thereon at a rate equal to the lessor of twelve percent (12%) per annum or the then highest lawful rate. If this Lease terminates prior to Tenant&#8217;s receiving full reimbursement, Landlord shall pay the unreimbursed balance plus accrued interest to Tenant on demand.</p>
<p>28. <strong>Compliance with Law</strong>.</p>
<p>Tenant shall comply with all laws, orders, ordinances and other public requirements now or hereafter pertaining to Tenant&#8217;s use of the Leased Premises. Landlord shall comply with all laws, orders, ordinances and other public requirements now or hereafter affecting the Leased Premises.</p>
<p>29. <strong>Final Agreement</strong>.</p>
<p>This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only by a further writing that is duly executed by both parties.</p>
<p>&nbsp;</p>

<p><span style="font-family: Arial; font-size: small;">In addition to each Partner&#8217;s share of the profits and losses of the Partnership, as set forth in Section 5, each Partner is entitled to an interest in the assets of the Partnership.</span></p>
<p><span style="font-family: Arial; font-size: small;">B. The amount credited to the capital account of the Partners at any time shall be such amount as set forth in this Section 4 above, plus the Partner&#8217;s share of the net profits of the Partnership and any additional capital contributions made by the Partner and minus the Partner&#8217;s share of the losses of the Partnership and any distributions to or withdrawals made by the Partner. For all purposes of this Agreement, the Partnership net profits and each Partner&#8217;s capital account shall be computed in accordance with generally accepted accounting principles, consistently applied, and each Partner&#8217;s capital account, as reflected on the Partnership federal income tax return as of the end of any year, shall be deemed conclusively correct for all purposes, unless an objection in writing is made by any Partner and delivered to the accountant or accounting firm preparing the income tax return within one (1) year after the same has been filed with the Internal Revenue</span></p></blockquote>
<p><span style="font-family: Arial; font-size: small;">Service. If an objection is so filed, the validity of the objection shall be conclusively determined by an independent certified public accountant or accounting firm mutually acceptable to the Partners.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>5. Profits and Losses.</strong><br />
Until modified by mutual consent of all the Partners, the profits and losses of the Partnership and all items of income, gain, loss, deduction, or credit shall be shared by the Partners in the following proportions:</span></p>

<p><span style="font-family: Arial; font-size: small;"><strong>6. Books and Records of Account.</strong><br />
The Partnership books and records shall be maintained at the principal office of the Partnership and each Partner shall have access to the books and records at all reasonable times.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>7. Future Projects.</strong><br />
The Partners recognize that future projects for the Partnership depend upon many factors beyond present control, but the Partners wish to set forth in writing and to mutually acknowledge their joint understanding, intentions, and expectations that the relationship among the Partners will continue to flourish in future projects on similar terms and conditions as set forth in this Agreement, but there shall be no legal obligations among the Partners to so continue such relationship in connection with future projects.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>8. Time and Salary.<br />
</strong>Until and unless otherwise decided by unanimous agreement of the Partners, [Time Commitment]. Each Partner shall nonetheless be expected to devote such time and attention to Partnership affairs as shall from time to time be determined by agreement of the Partners. No Partner shall be entitled to any salary or to any compensation for services rendered to the Partnership or to another Partner.</span></p>

<blockquote><p><span style="font-family: Arial; font-size: small;">A. Restrictions on Transfer. None of the Partners shall sell, assign, transfer, mortgage, encumber, or otherwise dispose of the whole or part of that Partner&#8217;s interest in the Partnership, and no purchaser or other transferee shall have any rights in the Partnership as an assignee or otherwise with respect to all or any part of that Partnership interest attempted to be sold, assigned, transferred, mortgaged, encumbered, or otherwise disposed of, unless and to the extent that the remaining Partner(s) have given consent to such sale, assignment, transfer, mortgage, or encumbrance, but only if the transferee forthwith assumes and agrees to be bound by the provisions of this Agreement and to become a Partner for all purposes hereof, in which event, such transferee shall become a substituted partner under this Agreement.</span></p>
<p><span style="font-family: Arial; font-size: small;">B. Transfer Does Not Dissolve Partnership. No transfer of any interest in the Partnership, whether or not permitted under this Agreement, shall dissolve the Partnership. No transfer, except as permitted under Subsection 9.A. above, shall entitle the transferee, during the continuance of the Partnership, to participate in the management of the business or affairs of the Partnership, to require any information or account of Partnership transactions, or to inspect the books of account of the Partnership; but it shall merely entitle the transferee to receive the profits to which the assigning Partner would otherwise be entitled and, in case of dissolution of the Partnership, to receive the interest of the assigning Partner and to require an account from the date only of the last account agreed to by the Partners.</span></p></blockquote>
<p><span style="font-family: Arial; font-size: small;"><strong>10. Death, Incompetency, Withdrawal, or Bankruptcy.</strong><br />
Neither death, incompetency, withdrawal, nor bankruptcy of any of the Partners or of any successor in interest to any Partner shall operate to dissolve this Partnership, but this Partnership shall continue as set forth in Section 3, subject, however, to the following terms and conditions:</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>A. Death or Incompetency.</strong><br />
In the event any Partner dies or is declared incompetent by a court of competent jurisdiction, the successors in interest of that Partner shall succeed to the partnership interest of that Partner and shall have the rights, duties, privileges, disabilities, and obligations with respect to this Partnership, the same as if the successors in interest were parties to this Agreement, including, but not limited to, the right of the successors to share in the profits or the burden to share in the losses of this Partnership, in the same manner and to the same extent as the deceased or incompetent Partner; the right of the successors in interest to continue in this Partnership and all such further rights and duties as are set forth in this Agreement with respect to the Partners, the same as if the words &#8220;or his or her successors in interest&#8221; followed each reference to a Partner; provided, however, that no successor in interest shall be obligated to devote any service to this Partnership and, provided further, that such successors in interest shall be treated as holding a passive, rather than active, ownership investment.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>B. Payments Upon Retirement or Withdrawal of Partner.</strong></span></p>
<blockquote><p><span style="font-family: Arial; font-size: small;">(1) Amount of Payments. Upon the retirement or withdrawal of a Partner, that Partner or, in the case of death or incompetency, that Partner&#8217;s legal representative shall be entitled to receive the amount of the Partner&#8217;s capital account (as of the end of the fiscal year of the Partnership next preceding the day on which the retirement or withdrawal occurs) adjusted for the following:</span></p>
<blockquote><p><span style="font-family: Arial; font-size: small;">(i) Any additional capital contributions made by the Partner and any distributions to or withdrawals made by the Partner during the period from the end of the preceding fiscal year to the day on which the retirement or withdrawal occurs;</span></p>
<p><span style="font-family: Arial; font-size: small;">(ii) The Partner&#8217;s share of profits and losses of the Partnership from the end of the preceding fiscal year of the Partnership to the day on which the retirement or withdrawal occurs, determined in accordance with generally accepted accounting principles, consistently applied; and</span></p></blockquote>
<blockquote><p><span style="font-family: Arial; font-size: small;">(iii) The difference between the Partner&#8217;s share of the book value of all of the Partnership assets and the fair market value of all Partnership assets, as determined by a fair market value appraisal of all assets. Unless the retiring or withdrawing Partner and the Partnership can agree on one appraiser, three (3) appraisers shall be appointed&#8211;one by the Partnership, one by the retiring or withdrawing Partner, and one by the two appraisers thus appointed. All appraisers shall be appointed within fifteen (15) days of the date of retirement or withdrawal. The average of the three appraisals shall be binding on all Partners.</span></p></blockquote>
<p><span style="font-family: Arial; font-size: small;">(2) Time of Payments. Subject to a different agreement among the Partners or successors thereto, the amount specified above shall be paid in cash, in full, but without interest, no later than twelve (12) months following the date of the retirement or withdrawal.</span></p>
<p><span style="font-family: Arial; font-size: small;">(3) Alternate Procedure. In lieu of purchasing the interest of the retiring or withdrawing Partner as provided in subparagraph (1) and (2) above, the remaining Partners may elect to dissolve, liquidate and terminate the Partnership. Such election shall be made, if at all, within thirty (30) days following receipt of the appraisal referred to above.</span></p></blockquote>
<p><span style="font-family: Arial; font-size: small;"><strong>11. Procedure on Dissolution of Partnership.</strong><br />
Except as provided in Section 10.B.(3) above, this Partnership may be dissolved only by a unanimous agreement of the Partners. Upon dissolution, the Partners shall proceed with reasonable promptness to liquidate the Partnership business and assets and wind-up its business by selling all of the Partnership assets, paying all Partnership liabilities, and by distributing the balance, if any, to the Partners in accordance with their capital accounts, as computed after reflecting all losses or gains from such liquidation in accordance with each Partner&#8217;s share of the net profits and losses as determined under Section 5.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>12. Title to Partnership Property.</strong><br />
If for purposes of confidentiality, title to Partnership property is taken in the name of a nominee or of any individual Partner, the assets shall be considered to be owned by the Partnership and all beneficial interests shall accrue to the Partners in the percentages set forth in this Agreement.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>13. Leases.</strong><br />
All leases of Partnership assets shall be in writing and on forms approved by all the Partners.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>14. Controlling Law.<br />
</strong>This Agreement and the rights of the Partners under this Agreement shall be governed by the laws of the State of ___State___.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>15. Notices.</strong><br />
Any written notice required by this Agreement shall be sufficient if sent to the Partner or other party to be served by registered or certified mail, return receipt requested, addressed to the Partner or other party at the last known home or office address, in which event the date of the notice shall be the date of deposit in the United States mails, postage prepaid.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>16. General.</strong><br />
This Agreement contains the entire agreement of the Partners with respect to the Partnership and may be amended only by the written agreement executed and delivered by all of the Partners.</span></p>
<p><span style="font-family: Arial; font-size: small;"><strong>17. Binding Upon Heirs.</strong><br />
This Agreement shall bind each of the Partners and shall inure to the benefit of (subject to the Sections 9 and 10) and be binding upon their respective heirs, executors, administrators, devisees, legatees, successors and assigns.</span></p>

<h2>GENERAL PARTNERSHIP BUSINESS AGREEMENT (8 Pages)</h2>
<p>THIS AGREEMENT OF GENERAL PARTNERSHIP entered into as of January 5, 1995, by and among Northeast Ticketing Company and Southeast Ticketing Company (hereinafter collectively referred to as &#8220;Partners&#8221; and individually as &#8221;Partner&#8221;).</p>
<p>1. Name and purpose. The Partnership shall be carried on under the name of Conn Ticketing Company. The Partnership has been formed for the purpose of engaging in the computerized ticketing business in the State of Connecticut. The Partnership may engage in any and all other activities as may be necessary, incidental or convenient to carry out the business of the Partnership as contemplated by this Agreement.</p>
<p>2. Place of business. The principal office of the Partnership shall be located at 92 Weston Street, Suite 30, Hartford, Connecticut 06120, or at such other place as shall be agreed upon by the Partners from time to time.</p>
<p>3. Partners. The name and address of each of the Partners are as follows:</p>

<p>Southeast Ticketing Company 92 Weston Street, Suite 30 Hartford, Connecticut 06120</p>
<p>4. Term. The Partnership shall commence on January 1, 1995, and shall continue until terminated as provided in this Agreement.<br />

<p>5. Capital contributions. Each of the Partners has contributed to the capital of the Partnership, in cash, the amount set forth opposite his name:</p>

<p>An individual capital account shall be established and maintained for each Partner, who shall receive an interest in the Partnership and shall be credited with the amounts of its capital contributions to the Partnership from time to time. A Partner shall not be entitled to interest on its capital contribution, or to withdraw any part of its capital account, or to receive any distribution from the Partnership, except as specifically provided herein.</p>
<p>6. Net profits, net losses and cash flow. (a) Profits and losses. Each partner shares equally in the net profits and surplus remaining after all liabilities, including those to Partners are satisfied; and must contribute toward the losses, whether of capital or otherwise, sustained by the Partnership according to its share in the profits.</p>
<p>The terms &#8220;net profits&#8221; and &#8220;net losses&#8221; shall mean the net profits and losses of the Partnership as determined for federal income tax purposes by the certified public accountant servicing the partnership account.</p>

<p>(b) Cash flow. The cash flow of the Partnership shall be determined separately for each fiscal year and not cumulatively and, as so determined, shall be distributed in the same proportion as profits and losses are shared in accordance with paragraph 6(a). The cash flow shall be distributed at the discretion of the Partners, but at least semiannually.</p>
<p>(c) Income accounts. A separate income account shall be maintained for each Partner. Partnership profits and losses shall be charged or credited to the separate income account of each Partner. If a Partner has no credit balance in his income account, losses shall be charged to his capital account.</p>
<p>7. Rights and duties of Partners in relationship to Partnership. (a) Each Partner has equal rights in the management and conduct of the Partnership business and shall provide such services to the operation of the Partnership business as it shall deem proper and necessary, including keeping all Partners informed of all letters, accounts, writings and other information which shall come to a Partner&#8217;s attention concerning the business of the Partnership. Partners shall render true and full information of all things affecting the Partnership to the other Partner or its legal representative.</p>
<p>(b) The Partnership must indemnify every Partner in respect of payments made and personal liabilities reasonably incurred by it in the ordinary and proper conduct of Partnership business, or for the preservation of Partnership business or property.</p>

<p>(c) Each Partner must account to the Partnership for any benefit and hold as trustee for it any profits derived by it without the consent of the other Partner from any transaction connected with the formation, conduct, or liquidation of the Partnership or from any use by it of Partnership property.</p>
<p>(d) The Partnership shall keep or cause to be kept full records of each transaction of the Partnership and shall maintain such records at the principal office of the Partnership or at the principal office of the partnership&#8217;s accounting firm. Said records shall be open for inspection and examination by all Partners, or their duly authorized representative, at all reasonable times.<br />
The fiscal year of the Partnership shall end on December 31.</p>
<p>(e) Either Partner shall not be liable to the Partnership or to any Partner for any mistake or error in judgment or for any act or omission believed in good faith to be within the scope of authority conferred by this Agreement.</p>
<p>(f) No Partner is entitled to remuneration for acting in the Partnership business.</p>
<p>8. Voting. Each Partner shall vote in proportion to his capital interest in the Partnership from time to time. Each Partner may exercise his vote by written or oral notification to the other Partner, in each of those instances hereinafter stated.</p>
<p>9. Amendments. Amendments to this Agreement shall become effective only if in writing, signed by all the Partners.<br />

<p>10. Withdrawal from Partnership.<br />
(a) Partial or complete withdrawal. Each Partner shall have the right to withdraw either partially or completely from the Partnership at the end of any fiscal year or at the end of the second quarter of any fiscal year. Written notice of intention to withdraw shall be served on the remaining Partner by the withdrawing Partner at least 45 days before the end of such fiscal year or quarter. The partial or complete withdrawal of a Partner shall have no effect on the continuance of the partnership business.</p>
<p>(b) Distribution. The distribution for the withdrawn Partnership Units shall be the fair market value thereof, as of the close of business on the effective date of the withdrawal (the end of the fiscal year or the end of the second quarter of the fiscal year). The fair market value of each Unit shall be determined by substituting the fair market value as of such date, in place of the book value, of all asset value, as redetermined, all liabilities of the Partnership as of such date, and dividing the resulting figure (representing the net fair market value of all Units of the partnership) by the total number of Partnership Units being withdrawn.</p>
<p>To the extent possible, the determination of the fair market value of the Partnership Unit shall be made by the certified public accountant who is then servicing the Partnership.</p>
<p>In making the adjustment for the fair market value of any asset without a readily ascertainable value and with respect to which the fair market value cannot be agreed upon by the Partnership and withdrawing Partner, the Partnership shall apply and rely upon the written appraisal of a qualified appraiser of such asset, selected by the Partnership for that purpose at the</p>

<p>expense of the Partnership. All such determinations of fair market value shall be made within 60 days after the effective date of the withdrawal of a Partnership Unit.</p>
<p>(c) Payment. Payment from the Partnership for the Units withdrawn by a Partner pursuant to this paragraph shall be made within 120 days after the determination of the value of the partnership Units.</p>
<p>11. Transfer of partnership interest. (a) Permitted transfers. Subject to paragraph 11(b) below, a Partner&#8217;s<br />
interest is assignable in whole or in part. A Partner ceases to be a Partner upon assignment of all its Partnership interest.</p>
<p>A conveyance by a Partner of its interest in the Partnership does not of itself dissolve the partnership, nor, as against the other Partners in the absence of agreement, entitle the assignee, during the continuance of the Partnership, to interfere in the management or administration of the partnership<br />
business or affairs, or to require any information or account of partnership transactions, or to inspect Partnership books; but it merely entitles the assigner to receive in accordance with its contract the profits to which the assigning Partner would have otherwise been entitled.</p>
<p>(b) Prohibited transfers. A Partner shall not pledge, cause a lien to be placed against, or encumber, its partnership interest in any way. Unless authorized by the other Partners, a Partner has no authority to assign the Partnership property in trust for creditors or on the<br />

<p>assignee&#8217;s promise to pay the debts of the Partnership; dispose of the good will of the business; do any other act which would make it impossible to carry on the ordinary business of the Partnership; confess a judgment, submit a Partnership claim or liability to arbitration or reference.</p>
<p>A Partner shall not sell or in any other way transfer its Partnership interest without first offering such interest for sale to the Partnership in a writing addressed and delivered to the principal office of the Partnership. Said notice shall set forth the proposed sale price and terms of sale. Thereupon, the Partnership shall have a period of 30 days to notify the selling Partner of its intention to purchase the interest offered for sale pursuant of the terms of that offer. If the Partnership shall timely elect to purchase the selling Partner&#8217;s interest, then within 45 days after receipt by the Partnership of such offer to sell, the partnership shall purchase said interest at the price and on the terms at which said interest is offered for sale. If the interest is not purchased by the Partnership within said 45-day period, then during the six-month period thereafter the offering Partner may sell his Partnership interest so offered for sale to any person whomsoever. Provided, however, that said interest shall not be sold at a lower price or on more favorable terms that than the price and terms set forth in the notice sent by the Partner in accordance with this paragraph 11(b). And provided further, however, that if the offering Partner does not sell his Partnership interest within the said six-month period, then thereafter he shall not sell or in any other way transfer such interest without first reoffering such interest for sale to the Partnership, in the manner set forth in this paragraph 11(b).</p>

12. Notices. All notices, consents and other instruments hereunder shall be in writing and mailed by certified mail, return receipt requested, postage prepaid, and shall be directed to the parties hereto at the addresses hereinabove set forth or at the last addresses of the parties furnished by them in writing.</p>
<p>13. Binding effect<br />
This Agreement shall inure to the benefit of, and be binding upon, the parties hereto and their respective administrators, executors, legal representatives, successors and permitted assigns. In witness whereof the parties hereto have executed two copies of this</p>
